Terms of Service

By creating a ReplyMint account or using any part of the ReplyMint service (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

If you use ReplyMint on behalf of a business, you represent that you have authority to bind that business to these Terms, and "you" refers to that business.

These Terms apply alongside our Privacy Policy, which is incorporated by reference.

ReplyMint is a software-as-a-service (SaaS) platform that connects to your Instagram Business or Creator account and/or your Facebook Page through Meta's official APIs. It helps you:

• View and prioritize comments and direct messages in a unified inbox
• Identify buyer intent from those messages
• Generate reply suggestions based on your business profile
• Confirm sales and track revenue from your activity on connected accounts

ReplyMint is a tool to assist human decision-making. We do not post replies automatically. All replies are reviewed and sent by you.

ReplyMint is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. (Facebook/Instagram). We operate as an independent developer using Meta's official APIs under their Platform Terms.

To use ReplyMint, you must:

• Be at least 18 years old
• Have a connected Instagram Business or Creator account and/or a Facebook Page
• Operate a legitimate business or personal brand that sells products or services
• Comply with Meta's Terms of Service and Community Standards
• Not be located in a country subject to applicable trade sanctions

You are responsible for maintaining the confidentiality of your ReplyMint account credentials. You are responsible for all activity that occurs under your account.

• Use a strong, unique password for your ReplyMint account
• Notify us immediately at security@replymint.app if you suspect unauthorized access
• Do not share your account with others (each person who uses the Service needs their own account)
• Provide accurate information during registration and keep it updated

We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently or in violation of these Terms.

You may use ReplyMint only for its intended purposes. You agree NOT to:

• Use the Service for any unlawful purpose or in violation of Meta's Platform Terms
• Send spam, harassment, misleading, or abusive messages through the Service
• Use ReplyMint to collect or harvest personal data from Instagram or Facebook users beyond what is needed for legitimate sales conversations
• Attempt to reverse-engineer, copy, or create derivative works of the ReplyMint software
• Circumvent usage limits, rate limits, or any security feature of the Service
• Use automated scripts or bots to interact with the ReplyMint interface (the product already includes automation — additional bots are not permitted)
• Impersonate any person or entity, or misrepresent your affiliation with any business
• Use the Service for any purpose that violates applicable law, including consumer protection laws, anti-spam laws, or data protection laws
• Attempt to gain unauthorized access to other users' accounts or ReplyMint's systems

We reserve the right to investigate violations and suspend or terminate access immediately and without notice if we determine a violation has occurred.

Because ReplyMint uses Meta's official APIs, additional restrictions apply:

• You must comply with Meta's Platform Terms and Developer Policies
• You must not use ReplyMint to send communications that violate Instagram's or Facebook's Community Standards
• You grant ReplyMint permission to access your connected account data solely to provide the Service to you
• You can revoke ReplyMint's access at any time through your Instagram or Facebook settings
• You are responsible for ensuring your use of Instagram, Facebook, and ReplyMint together complies with Meta's policies for your business category

If Meta changes its API terms in a way that requires us to modify or discontinue features, we will provide as much notice as possible and work to minimize disruption to your workflow.

ReplyMint's IP: The ReplyMint software, design, branding, and all original content are owned by ReplyMint and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your content: You retain full ownership of your business profile, product catalog, and any content you enter into ReplyMint. You grant ReplyMint a limited, non-exclusive license to process this content solely for the purpose of providing the Service to you.

Generated replies: Reply suggestions generated by ReplyMint are provided to you for your use. You are responsible for reviewing and approving any reply before sending. We make no copyright claim over suggestions you send.

Platform content: Comments, direct messages, and other content displayed in ReplyMint remain subject to Instagram's and Facebook's terms and the intellectual property rights of their creators.

Your use of ReplyMint is subject to our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you agree to the collection and use of information as described therein.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or always available
• Generated reply suggestions will be accurate, appropriate, or effective for your specific situation
• The Service will meet all of your business requirements
• Results from using the Service will be predictable or guaranteed

You use generated suggestions at your own discretion. You are responsible for all communications you send to your customers.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYMINT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

You agree to indemnify and hold harmless ReplyMint, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your violation of any third-party rights (including Instagram and Facebook users' rights)
• Your violation of applicable laws or regulations
• Content you submit, post, or transmit through the Service

By you: You may stop using ReplyMint and close your account at any time from Settings → Account → Delete Account.

By us: We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if required by law. For material violations, we may terminate immediately without notice. For lesser violations, we will provide notice and an opportunity to cure.

Upon termination, your right to use the Service ends immediately. We will delete your data according to our Privacy Policy retention schedule. Sections 8, 10, 11, 12, and 14 survive termination.

These Terms are governed by the laws of India, without regard to conflict of law principles. For disputes not resolved by direct negotiation, you and ReplyMint agree to resolve disputes through binding arbitration in India, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property disputes.

Before initiating any formal proceeding, you agree to contact us at legal@replymint.app to attempt to resolve the dispute informally. We will respond within 10 business days.

We may update these Terms from time to time. For material changes, we will notify you via email at least 14 days before the new terms take effect. Minor changes (typo corrections, clarifications that don't alter your rights) may be made without notice.

Continued use of the Service after updated Terms take effect constitutes your acceptance. If you disagree with updated Terms, you should cancel your account before the effective date.

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and ReplyMint regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• No waiver: Our failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
